These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User," "you," or "your") and Tool Xpert (the "Website," "we," "us," or "our"), accessible at https://toolxpert.org/. By accessing, browsing, registering an account, or purchasing any services on the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must immediately cease using the Website and our services.

1. General Description of Services

Tool Xpert operates as an online platform that provides shared subscription access to various third-party software tools, extensions, and services primarily designed for e-commerce research and management. These include, but are not limited to, tools similar to those used on platforms such as Amazon, Etsy, eBay, Shopify, Daraz, and Walmart (e.g., Helium 10 and comparable tools). In addition, we offer shared access to VPN services, VPS (Virtual Private Servers), and proxy services.

All access provided through Tool Xpert is on a shared basis. This means that multiple users share the same underlying subscription or account from the original service provider. As a result:

Usage limits imposed by the original tool creators are shared among all users.
Daily, monthly, or periodic resets (where applicable) apply collectively.
We monitor usage closely and may temporarily update or rotate access as a courtesy to maintain service for all clients.
Examples of specific limits (as defined by original providers, not Tool Xpert) include, but are not limited to:
- Helium 10 tools such as Black Box (typically up to 250 uses), Magnet (up to 150 uses), Cerebro (up to 250 uses), and XRAY (up to 80 uses) per cycle.
- Similar limited-use tools from other providers follow their respective official restrictions.
If limits are exhausted due to collective usage, users may need to wait until the next reset cycle (daily, monthly, or as defined by the original provider).
These limitations are entirely determined by the original tool creators. Tool Xpert acts solely as a reseller of shared access and has no control over changing or removing these restrictions.

Due to the shared and resold nature of the services, occasional glitches, temporary downtime, restricted functionality, or sudden access changes may occur. These can result from actions taken by the original providers to enforce their terms or prevent abuse.

2. Eligibility and Account Registration

To use our Services, you must be at least 18 years old or the age of majority in your jurisdiction. By registering, you represent and warrant that you meet this requirement.

When creating an account, you agree to provide accurate, current, and complete information, including your full name, email address, and phone number. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@toolxpert.org of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time, without notice or refund, if we believe you have violated these Terms or engaged in abusive behavior.

3. Payments and Billing

All payments for subscriptions and services are processed exclusively via direct bank transfer. You will receive bank details upon order confirmation.

All sales are final once payment is confirmed and access credentials are provided. No refunds, partial refunds, credits, or chargebacks will be issued under any circumstances (see Section 8 for details).

Prices are subject to change without prior notice. Any promotional pricing applies only to new purchases and is not retroactive.

4. Intellectual Property and Trademarks

All trademarks, logos, brand names, and visual elements of the third-party tools displayed on our Website belong exclusively to their respective owners (e.g., Helium 10, Jungle Scout, or any other tool provider). Tool Xpert does not claim ownership of these marks and uses them solely for identification and informational purposes.

If any original tool provider or rights holder believes that the display of their trademark, logo, or branding on our Website constitutes an issue, they may contact us directly at support@toolxpert.org. Upon receiving a valid request, we will promptly remove the relevant content from our catalog and Website.

Tool Xpert is not affiliated with, endorsed by, or sponsored by any of the third-party tool providers mentioned on the Website.

5. User Obligations and Prohibited Activities

By using our Services, you agree to:

Use the shared access responsibly and avoid excessive or abusive usage that could negatively impact other users.
Not share your access credentials with any third parties.
Not attempt to automate, script, or excessively query the tools beyond normal manual usage.
Not use the Services for any unlawful, fraudulent, or malicious purposes.
Not attempt to reverse-engineer, modify, or interfere with the third-party tools or our platform.
Comply with all applicable laws and regulations in your jurisdiction.

Any violation of these obligations may result in immediate termination of your access, without refund or prior warning.

We reserve the right to monitor usage patterns and take action against accounts exhibiting abusive behavior, including but not limited to unusually high query volumes that trigger provider restrictions.

6. No Warranties and "As Is" Provision

The Services are provided strictly on an "as is" and "as available" basis without any warranties of any kind, whether express or implied.

Tool Xpert does not guarantee:

Uninterrupted, timely, secure, or error-free access.
That the shared tools will always function at full capacity.
That usage limits will not be reached due to collective user activity.
Compatibility with your specific needs or expectations.
That third-party providers will not restrict, suspend, or revoke underlying access.

You acknowledge that the significantly discounted pricing reflects the shared and resold nature of the Services, which inherently carries risks of limitations, glitches, and potential disruptions.

7. Limitation of Liability

To the maximum extent permitted by law, Tool Xpert, its operators, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

Your use or inability to use the Services.
Glitches, downtime, or loss of access caused by third-party providers.
Limits being reached or resets delayed.
Any data loss, business interruption, or lost profits.
Actions taken by original tool providers against shared accounts.

Your sole remedy for dissatisfaction is to discontinue use of the Services.

8. No Refund Policy

All purchases are non-refundable and non-transferable. Once access is granted following payment confirmation, no refunds will be provided under any circumstances, including but not limited to:

Dissatisfaction with functionality or performance.
Usage limits being reached.
Technical issues or glitches.
Account suspension or termination.
Changes in third-party provider policies.

By completing a purchase, you explicitly acknowledge and accept this strict no-refund policy.

9. Termination

We may terminate or suspend your access to the Services at any time, without notice or liability, for any reason, including violation of these Terms or abusive usage patterns. Upon termination, your access will cease immediately, and no refund will be issued.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Pakistan.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Website with a revised "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
